Job Description
Job Summary
A senior commercial and transactional attorney who structures, negotiates, and closes complex commercial and product agreements for Rackspaces GPU-as-a-service, bare-metal, and broader AI infrastructure offerings. This role operates as an embedded subject-matter expert across RackLaws sales, sourcing, privacy, and corporate development functions, providing GPU/AI/neocloud market fluency the department does not currently have in-house. The role is RackLaws primary point of contact for legal issues distinctive to GPU compute, AI training and inference workloads, and the neocloud competitive landscape. Reports to the VP & Deputy General Counsel and partners with existing practice leads (Sales Legal, Sourcing, Privacy, and Solutions Counsel) rather than displacing them.
Job Responsibilities
Commercial & Transactional
- Serve as lead commercial counsel for Rackspaces GPU-as-a-service, bare-metal, and AI infrastructure offerings, drafting and negotiating solution and product terms, master service agreements, and order forms with enterprise customers and strategic partners.
- Partner with Sales and Sourcing on complex GPU/AI capacity transactions, including customer-facing sales agreements and supply-side arrangements such as hyperscaler/OEM capacity reservations, data center colocation, partner agreements (including semiconductor manufacturer backstop agreements) and power/infrastructure agreements supporting AI workloads.
- Negotiate directly with sophisticated counterparties, including chip and hardware suppliers, hyperscalers, and other neocloud/GPU providers, on novel commercial structures.
Regulatory & Risk
- Monitor and advise on the evolving legal and regulatory landscape affecting AI infrastructure and advanced computing items, including export control policy (EAR requirements, end user/end-use screening, deemed export issues, RASA and complex licensing matters), data sovereignty, and emerging AI-specific commercial risks.
- Partner with the Chief Privacy Officer on privacy and data protection issues specific to AI training, inference, and customer data handling in GPU compute environments.
Corporate Development
- Support M&A, strategic partnership, and investment activity involving AI/GPU infrastructure targets or counterparties, working directly with the VP & Deputy General Counsel on diligence, deal structuring, and integration.
Subject-Matter Leadership
- Act as RackLaws internal subject-matter expert on the GPU/neocloud competitive and regulatory landscape, advising Sales Legal, Sourcing, Solutions Counsel, and other practice leads on AI/GPU-specific issues that intersect their existing matters.
- Develop and maintain playbooks, templates, and self-service tools for standard GPU/AI commercial terms consistent with RackLaws tiered self-service model.
- Provide practical, business-oriented legal guidance that balances deal velocity with legal and regulatory risk, consistent with RackLaws self-service and risk-tiering framework.
Required Qualifications
Education and experience:
- J.D. from an ABA-accredited law school; active license to practice law in at least one U.S. jurisdiction, in good standing (required).
- 8+ years of post-bar experience in commercial/transactional practice, including substantial experience with technology, cloud, or data infrastructure transactions.
- Deep knowledge of commercial contracting for cloud and IaaS/SaaS transactions.
- Working knowledge of U.S. export control regimes applicable to advanced computing and semiconductor technology (EAR / BIS / RASA).
- Familiarity with data privacy and protection frameworks applicable to AI training and inference workloads.
- Ability to operate as a cross-functional subject-matter expert across multiple legal practice areas without direct management authority over those teams.
- Sound business judgment; ability to translate fast-moving, ambiguous business requirements into workable legal terms.
- Executive-level written and verbal communication; independent judgment and ability to operate with minimal supervision.
Preferred Qualifications
- Prior in-house experience at a hyperscaler, neocloud/GPU cloud provider, semiconductor company, or AI infrastructure company.
- Experience with export control, data privacy, or M&A matters, in addition to core commercial/transactional strength.
- Experience negotiating equipment financing, lease, or offtake structures for infrastructure or hardware assets (e.g., master lease agreements, sale-leaseback, or off-balance sheet financing arrangements).
- General knowledge of M&A and strategic transaction structuring, including complex financing arrangements.
