Job Description:

FormFactor is seeking a Corporate Counsel to join our legal team to support the review, drafting, and negotiation of a broad range of commercial agreements. This role will work closely with business partners across sales, procurement, supply chain, finance, IT, and engineering teams to facilitate business transactions while helping manage legal and business risk. 


The successful candidate will serve as a day-to-day advisor on routine and moderately complex contracting matters and will collaborate with senior members of the legal team on more complex, strategic or non-standard transactions. 


Responsibilities

  • Develop proficiency with the use of A.I. tools to improve efficiencies and scale workflows and capabilities. 
  • Draft, review, and negotiate a wide range of commercial agreements, including master supply agreements, sales contracts, purchase orders, statements of work, vendor/supplier agreements, equipment procurement contracts, software licenses, NDAs, services agreements, leases and joint development agreements
  • Partner with sales, procurement, and business teams to provide guidance on contract terms, risk allocation, and negotiation strategy
  • Identify and recommend process improvements across legal workflows, including templates, automation, and training, and help implement and measure their impact.
  • Monitor legal and regulatory developments affecting commercial contracting in the semiconductor industry, including export controls, trade compliance, and IP licensing considerations
  • Advise on data privacy and protection matters, including data processing agreements and compliance with GDPR, CCPA, and other applicable privacy laws and regulations
  • Support SEC reporting and public company compliance
  • Assist with corporate governance matters, including entity management and subsidiary maintenance
  • Provide legal guidance to the People Team and managers on day-to-day employment matters
  • Manage pre-litigation matters, including disputes, demand letters, subpoenas, litigation holds, and document collection, and partner with outside counsel on active litigation and government inquiries under the direction of senior legal leadership
  • Support the corporate compliance program, including the Code of Business Conduct, anti-corruption/FCPA, conflicts of interest, insider trading policies, and employee training
  • Support corporate development and M&A activity, including due diligence, ancillary documents, and post-closing integration

Required Qualifications:

  • J.D. from an ABA-accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • A minimum of 2-3 years of law firm experience (AmLaw 50 or equivalent preferred)

  • Demonstrated track record of continuous improvement, including identifying inefficiencies in legal or business processes and implementing practical, measurable solutions 
  • Proficiency with legal technology and process automation, including A.I. tools 
  • Proven stakeholder management skills, with the ability to build trust and credibility across functions such as sales, procurement, finance, HR, engineering, and executive leadership 
  • Ability to provide practical legal advice to different business personnel at all levels of an organization understanding and respecting cultural differences; effectively present ideas and has exceptional negotiation, client-counseling and interpersonal skills
  • Innovation: Brings experience and ideas to a fast-growing business who can help streamline, build efficiency in a high growth environment. In addition, this candidate should be a creative thinker with the ability to solve complex problems while balancing legal risks with business needs.

Preferred Qualifications: 

  • Familiarity with semiconductor-specific contract terms and structures, including IP licensing, equipment and materials supply and purchase agreements

Minimum of 5 years of related experience with a Bachelor’s degree; or 3 years and a Master’s degree; or a PhD without experience; or equivalent work | Required

Pay Range:

$155,800.00 - $204,435.00

Pay Range Explained:

This role in Livermore, California pays between $155,800.00 and $204,435.00 per year, depending on your experience, skills, and background. Pay may vary in other locations. We offer a full benefits package, including medical, dental, vision, life insurance, disability coverage, a 401(k) with company match, employee stock purchase plan (ESPP), and paid time off. You’ll also be eligible for quarterly profit-sharing bonuses and flexible spending or savings accounts.
