It is an exciting opportunity for an attorney who thrives in a fast-paced, collaborative environment and is passionate about navigating Zooms shift to a channel-first strategy, driving strategic deals and supporting cutting-edge innovation. </span><span>This position reports to Associate General Counsel, Commercial (Channel).</span></p><p></p></div><div><p><b>What you can expect:</b></p></div><div><p><span>As Commercial Counsel, you will serve as a trusted advisor to Zoom’s Channel and Partner teams, supporting our global partner ecosystem. You will lead legal support for Zoom’s partner programs, as well as draft, review and negotiate a wide range of channel and partner agreements. This role requires a mix of legal acumen, business judgment, and the ability to work cross-functionally with sales, business development, partner operations, compliance, and finance teams in a fast-paced environment.</span></p><p></p></div><div><p><b>Responsibilities:</b></p></div><ul><li><p><span>Review, draft, and negotiate a variety of commercial agreements including master partner agreements, SaaS channel agreements (reseller and distribution agreements), referral and alliance agreements, data processing addenda and agreements, professional services agreements, statements of work, service schedules, support and service level terms, and other legal documentation.</span></p></li><li><p><span>Review and assist in maintenance of Zoom’s partner program terms (e.g., program guides, participation agreements, incentives) to ensure they are clear, scalable, and enforceable.</span></p></li><li><p><span>Provide practical guidance to business teams on interpreting and applying program terms, including dispute resolution and enforcement scenarios.</span></p></li><li><p><span>Work cross-functionally to draft terms for new products and services for channel adoption.</span></p></li><li><p><span>Create and maintain playbooks, templates, and contract workflows to drive efficiency and consistency across the partner ecosystem.</span></p></li></ul><p></p><div><p><b>What we’re looking for:</b></p></div><ul><li><p><span> </span>Juris Doctor Degree<span> from an accredited law school and active membership in at least one US state bar.</span></p></li><li><p><span>5+ years of experience practicing law, with at least 3 years focused on commercial transactions.</span></p></li><li><p><span>Experience with partner program terms, policies, and guides.</span></p></li><li><p><span>Strong familiarity with channel and partner agreements (reseller, distributor, referral, etc.).</span></p></li><li><p><span>Strong business judgment and ability to balance legal risk with business objectives.</span></p></li><li><p><span>Excellent communication skills, with a focus on building relationships and delivering practical, actionable advice.</span></p></li><li><p><span>Ability to manage multiple priorities in a fast-paced, dynamic environment.</span></p></li><li><p><span>Experience supporting SaaS or cloud organizations and related revenue recognition concepts and issues.</span></p></li><li><p><span>Highly responsive with a service-oriented attitude with the ability to give succinct, commercially-driven legal advice.</span></p></li><li><p><span>Works well autonomously and in a multidisciplinary team environment with strong organizational and interpersonal skills. </span></p></li><li><p><span>Strong work ethic and ability to multi-task, prioritize, and follow-through on numerous projects. </span></p></li><li><p><span>Sense of humor and ability to empathize and resolve conflicts.</span></p></li></ul><p></p><div><p><b><i>Preferred Qualifications:</i></b></p></div><ul><li><p><span>Prior in-house experience at a SaaS, technology, or communications company.</span></p></li><li><p><span>Knowledge of privacy, antitrust, competition law, and channel compliance considerations.</span></p></li><li><p><span>Experience with artificial intelligence concepts, contract provisions, and counseling. </span></p></li></ul><p><br /> </p><div><p><b><i>This is a hybrid position based out of Zoom’s headquarters in San Jose, CA. </i><span> </span></b></p></div><p></p><p><b>Salary Range or On Target Earnings:</b></p><p></p><p>Minimum:</p>$98,900.00<p></p><p>Maximum:</p>$228,700.00<p></p><p><span>In addition to the base salary and/or OTE listed Zoom has a Total Direct Compensation philosophy that takes into consideration; base salary, bonus and equity value.</span></p><p></p><p><span>Note: Starting pay will be based on a number of factors and commensurate with qualifications &amp; experience.</span></p><p></p><p><span>We also have a location based compensation structure;  there may be a different range for candidates in this and other locations</span></p><p><span>At Zoom, we offer a window of at least 5 days for you to apply because we believe in giving you every opportunity.
