<div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><div><p><b><u>Job Description</u></b></p></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div></div><ul><li><p><b>What is the Opportunity?</b></p><p><b>What will you do?</b></p></li><li>Work closely with senior bankers to structure and lead loan &amp; high yield transactions for leveraged buyouts, acquisition financings, recapitalizations, restructurings and refinancing</li><li>Work directly with analysts to support senior level executives in all stages of the transaction; Train and mentor junior level resources</li><li>Lead the development of pitch materials for clients across a variety of sectors that present strategic and financing views, company analysis and financing terms</li><li>Build and check financial models with sensitized capital structure and operating assumption scenarios</li><li>Work directly with senior leveraged finance and industry bankers, syndication/capital markets, internal risk teams, corporate banking, liability management, ratings advisors and other areas of the bank on internal credit processes and external client servicing</li><li>Provide support in all aspects of the due diligence and underwriting process including (1) review of data-room documentation and third party materials, (2) evaluation of financial statements, historical trends and projections and (3) diligence meetings/calls with management and other subject matter experts</li><li>Assist in the negotiation of commitment terms, covenants, and relevant credit document provisions</li><li>Prepare marketing and offering materials for leveraged loans or high yield bonds (including rating agency materials, lender and roadshow presentations, information memorandums and prospectuses)</li><li>Proactively identify operational risks/ control deficiencies in the business</li><li>Review and comply with Firm Policies applicable to your business activities</li><li>Escalate operational risk loss events, control deficiencies and risks that you identify to your line manager and the relevant risk and control functions on a timely basis</li><li><p><b>What do you need to succeed?</b></p></li><li>BA or equivalent with emphasis in finance/accounting/economics; strong academic credentials</li><li><p>MBA, MA or MS or equivalent desired, but not required</p></li><li>At least one year of Leveraged Finance or related finance experience</li><li>Ability to take initiative and function independently under pressure, balanced with strong teaming skills</li><li>Ability to drive multiple processes, which may each be in a different stage in the transaction cycle</li><li>Proficient with computer applications such as MS Outlook, Word, Excel and market data applications</li><li>Familiarity with credit agreements and other debt facility documentation</li><li>Prior lead left deal experience preferred</li><li>Excellent written and verbal communication skills; Ability to effectively interact with internal and/or external constituents</li><li>Must maintain high standards of professional and ethical conduct</li><li>Series 79 &amp; 63 licensed</li><li>Value and possess strong competency in the following behaviors: Collaboration, Relationship Building, Communication, Integrity and Operating with Diverse and Inclusive Mindset</li><li><p><b>What’s in it for you?</b></p><p>We thrive on the challenge to be our best, progressive thinking to keep growing, and working together to deliver trusted advice to help our clients thrive and communities prosper.
