You’ll lead with purpose, breaking down barriers to innovation in a more connected, compassionate world.<h1>A Day in the Life</h1>As a Senior Corporate Paralegal, you will play a crucial role in the maintenance activities of Medtronic’s subsidiaries and branches in the AsiaPacific region. Reporting to the Director Corporate Secretary CoE EurAsia / Americas, you will collaborate with a dedicated team of 5 paralegals to drive excellence in our corporate operations across EMEA, Canada, Latin America and AsiaPacific.Responsibilities may include the following and other duties may be assigned:<ul><li>Drafting and reviewing corporate documents, including resolutions, minutes, and agreements.</li><li>Maintain corporate books for all subsidiaries in the AsiaPacific region.</li><li>Coordinate and prepare for board and shareholder meetings, including the preparation of agendas, notices, and meeting materials.</li><li>Provide advice on corporate governance and subsidiary management matters to a variety of stakeholders</li><li>Manage and update entity management databases to ensure accurate and up-to-date records.</li><li>Ensure compliance with annual legal obligations for all subsidiaries.</li><li>Lead the legal implementation of regional internal corporate restructuring projects</li><li>Open and close legal entities / branch offices as needed.</li><li>conduct legal research and provide support on various corporate governance matters.</li><li>Liaise with external legal counsel and regulatory authorities as needed. Monitor associated budget</li><li>Monitor changes in relevant legislation and ensure compliance with new legal requirements.</li><li>Collaborate with cross-functional teams, including finance, tax, and treasury, to support corporate initiatives.</li></ul>Required Knowledge and Experience:<ul><li>University level, Vocational or Bachelors Degree preferred but not required</li><li>Minimum 3-5 years of prior experience in a similar role in a multinational environment - knowledge of corporate governance and compliance requirements in the AsiaPacific region.</li><li>Excellent verbal and written communications skills and fluency in English</li><li>Strong organizational skills, attention to detail and problem-solving skills.</li><li>Ability to work independently and able to manage multiple tasks simultaneously.</li><li>Excellent MS Office skills, experience with entity management databases is preferred</li><li>Positive and proactive approach, including driving processes in a complex environment.</li><li>The ability to work effectively across geographic and functional boundaries.</li><li>Keen to learn, enthusiastic, friendly, self-motivated, team-oriented and positive, open to change, innovative</li><li>Team player, able to build bridges and foster strong cross functional connections</li></ul>Physical Job Requirements The above statements are intended to describe the general nature and level of work being performed by employees assigned to this position, but they are not an exhaustive list of all the required responsibilities and skills of this position. <h1>Benefits &amp; Compensation</h1>Medtronic offers a competitive Salary and flexible Benefits Package A commitment to our employees lives at the core of our values.
