A Day in the Life

We are seeking an exceptional transactional attorney with digital health technology experience to join our growing Medtronic US Commercial Legal Team. The team consists of seasoned legal professionals who work closely with the Medtronic Global Commercial Office and Medtronic Operating Units, including sales pricing and contract analysts, customer account managers, senior commercial leaders, and other functional experts to support commercial transactions for all of Medtronic’s medical technology products, services and solutions offered and sold in the United States.

This new role will lead critical and novel contracting strategies across Medtronic’s Cardiovascular, Neuroscience and Medical Surgical Portfolios to support commercialization of cutting-edge digital health solutions, complex surgical robotic platforms, smart medical devices, remote service systems and other data-enabled healthcare technology and service solutions for Medtronic’s diverse base of customers and strategic partners.

This is a high-impact role that requires a proactive, decisive, creative, and compliant solutions-oriented mindset to shape Medtronic’s commercial success in the dynamic digital health technology landscape.

This position reports to the Legal Director, US Commercial Legal organization.

This onsite position will reside in one of our Medtronic office locations (Minneapolis, MN, Lafayette, CO, Jacksonville, FL, Boston, MA, Irvine, CA, Memphis, TN or Washington D.C.).

Responsibilities may include the following and other duties may be assigned.

  • Support the negotiation and drafting of complex commercial arrangements and strategic partnerships in the technology, digital health, and healthcare space.
  • Identify, assess, and communicate key contract risks, obligations, and practical mitigation strategies to internal stakeholders.
  • In partnership with other subject matter experts, support discussions and negotiations regarding customer implementation strategies, product functionality, data use, and access and security issues.
  • Collaborate closely with Medtronic’s various legal Centers of Expertise (COEs) and other legal and compliance professionals, as needed, to deliver the highest quality practical and strategic advice to sales, finance, and other stakeholders to close deals effectively and compliantly.
  • Advise on federal healthcare laws, antikickback, antitrust, False Claims Act, HIPAA, state data privacy and security laws, software licensing, FDA law, IP and other legal risk areas governing data-enabled healthcare technology and AI commercial transactions.
  • Develop, review, or implement company-wide and/or functionally specific training programs for the areas described above.
  • Monitor evolving regulatory standards impacting commercial transactions of data-enabled healthcare technology and AI commercial transactions.
  • Partner with other stakeholders to build efficient processes, including the creation and maintenance of playbooks, templates, self-help workflows, and document management systems.

MUST HAVE: MINIMUM REQUIREMENTS

  • Juris Doctor from a nationally recognized US law school.
  • Licensed to practice law and in good standing under the Bar of at least one state in the United States or in Washington D.C.
  • 8+ years of legal experience to include 5+ years of legal experience both advising clients on the laws and regulations relevant to the sale and promotion of data-enabled healthcare technology products and services, as well as negotiating and drafting agreements governing the sale of these products and services.

NICE TO HAVE

  • Experience supporting Sales and Marketing, with a focus on digital health enabled medical devices and services.
  • Extensive experience negotiating and drafting technology licensing agreements, data use agreements, Business Associate Agreements, capital acquisition programs (sales, leasing, and financing), discount arrangements, partnership agreements, distribution agreements, group purchasing organization agreements, service and repair agreements, other.
  • Experience providing legal advice, support and business solutions for data protection, privacy, security or equivalent function for a large, regulated and matrixed organization.
  • Ability to identify high risk situations and provide appropriate guidance, including the ability to make courageous and unpopular decisions in a diplomatic manner.
  • Proven ability to manage and execute multiple complex assignments across multiple stakeholder groups within required timelines and expectations.
  • An adept ability to issue spot and effectively communicate complex legal risks, including antitrust and antikickback, simply and clearly to relevant stakeholders.
  • Possesses a proactive, solutions-oriented and continuous improvement mindset. 
  • Confident and humble leadership presence, with a proven ability to influence leadership at all levels of an organization.
  • Superior active listening skills and a keen ability to understand the big picture.

Salary ranges for U.S (excl. PR) locations (USD):$190,400.00 - $285,600.00

This position is eligible for a short-term incentive called the Medtronic Incentive Plan (MIP).

This position is eligible for an annual long-term incentive plan.

The base salary range is applicable across the United States, excluding Puerto Rico and specific locations in California. The offered rate complies with federal and local regulations and may vary based on factors such as experience, certification/education, market conditions, and location. Compensation and benefits information pertains solely to candidates hired within the United States (local market compensation and benefits will apply for others).

The following benefits and additional compensation are available to those regular employees who work 20+ hours per week: Health, Dental and vision insurance, Health Savings Account, Healthcare Flexible Spending Account, Life insurance, Long-term disability leave, Dependent daycare spending account, Tuition assistance/reimbursement, and Simple Steps (global well-being program).
