Our cloud-based software platform connects to 1300+ warehouse operators across North America, making the process of sourcing, operating and scaling logistics services fast and efficient. <a href="https://www.flexe.com/">Flexe.com</a> </div><h2>Senior Corporate Counsel - Commercial and Privacy</h2> We are seeking an experienced attorney for a senior corporate counsel role with a focus on commercial agreements and privacy matters.   The successful candidate will work directly with our commercial teams to draft, review and negotiate contracts and provide expert legal advice and manage risks on compliance matters related to privacy, technology and supply chain issues. This attorney will work closely with internal cross functional teams, including our Information Security team, the engineering team, and other business teams to document and ensure compliance with our privacy program and various compliance obligations.  This attorney will also work closely with our Legal team and internal business partners to draft, review and negotiate data privacy, technology and SaaS agreements, and other related agreements.  This role will report to the VP, Head of Legal. This is a hybrid position based in Seattle, WA. Team members are expected to work in-office three days a week (Tuesday, Wednesday, and Thursday), with remote work on Monday and Friday. <h3>Job Responsibilities</h3> Contract Review and Negotiation <ul> <li>The attorney will be responsible for contract review, negotiation and drafting, including contracts with customers, warehouse operators and vendors.  </li> <li>The attorney will work directly with internal clients and with counsel for customers and others to negotiate contracts and resolve issues. </li> <li>The ideal candidate will have a passion for negotiation and problem solving, and genuine enthusiasm for fostering partnerships across functions and levels to make the business better. </li> </ul> Data Privacy and Technology <ul> <li>This role will serve as the primary attorney responsible for any contract review, negotiation and drafting relating to data privacy, technology or related issues.</li> <li>The attorney will serve as a trusted advisor to the business to provide advice on data privacy related issues related to the company’s technology platform and data collection and use.  </li> <li>This role will be responsible for assisting with and advising on potential privacy incidents and data subject requests.  </li> <li>The attorney will monitor relevant privacy and data protection laws and enforcement activities to ensure ongoing compliance, track emerging risks and assist with policy creation and other program materials.</li> </ul>   Regulatory Compliance and Contract Review <ul> <li>Draft, negotiate and review agreements related to procurement of goods and services, including software and SaaS agreements.</li> <li>Conduct periodic reviews and audits of operations to proactively identify potential compliance risks and recommend practical solutions.</li> <li>Evaluate and support potential AI tools and policies within the organization.</li> <li>Work with and manage outside counsel as needed.</li> </ul>   Legal Team and Organization Support  <ul> <li>The incumbent will play a key role on the Legal team and must be willing to assist in new areas as our business may require.</li> </ul>   <h3>Qualifications</h3> Required Qualifications <ul> <li>JD with state bar admission (Washington preferred but not required).</li> <li>7+ years of total relevant experience (in-house experience preferred).</li> <li>Experience drafting and negotiating commercial and vendor agreements.</li> <li>Experience with training others on legal requirements and related subjects.</li> <li>Experience with data privacy matters, including negotiating data privacy agreements.</li> <li>Experience negotiating, drafting and interpreting contracts related to technology and software agreements.</li> <li>Experience engaging  and guiding outside counsel to develop practical strategies to address real-life business problems.</li> <li>Experience learning new areas of law.</li> <li>Clear and succinct verbal and written communication skills with an ability to translate complex material to clear and actionable advice.</li> <li>Aptitude for innovative and goal-oriented problem solving in service of business objectives.</li> <li>Very strong organizational skills, especially the ability and confidence to assess and prioritize competing, time-sensitive projects.</li> <li>Excellent judgment and ability to balance business needs &amp; goals and legal risks.</li> <li>Comfortable working independently and as a cross-functional partner.</li> <li>Ability to support and foster company values and ethics.</li> </ul> Preferred Qualifications <ul> <li>At least 3 years experience in areas of data privacy and data protection. </li> <li>Experience creating and implementing privacy or other regulatory compliance programs.</li> <li>Experience in 3PL, supply chain and/or warehouse industries is preferred.</li> <li>Knowledge of international trade regulations, supply chain management, logistics, hazmat regulation is a plus.</li> <li>Familiarity with emerging technology such as artificial intelligence.</li> </ul>   The salary range for this role is $170,500 to $225,500 depending, in part, on candidate location. Recruiting will confirm the specific range for the candidate location in the initial phone screen.
