EquipmentShare is seeking a highly skilled <strong>Securities and Mergers &amp; Acquisitions (M&amp;A) Counsel</strong> to join our in-house legal team. This role is critical to leading and managing acquisition transactions, securities compliance, investor relations, and corporate structuring. The ideal candidate will collaborate with cross-functional teams, conduct due diligence, negotiate agreements, ensure compliance with securities laws, and provide strategic legal counsel on corporate governance matters.</p> <p><em>Preference will be given to candidates located in or willing to relocate to Columbia, MO; however, remote-based candidates will be considered.</em></p> <p><span><strong><em>Salary range: $170k-$225k. Factors including past experience and location may affect final compensation rate. </em></strong></span></p> <h3><strong>Securities &amp; Capital Markets</strong> <strong>Primary Responsibilities</strong></h3> <ul> <li>Draft, review, and revise legal documents, including stock transfer agreements, contracts, policies, and procedures.</li> <li>Prepare contracts and agreements governing equity-based compensation.</li> <li>Assist in the preparation and review of securities filings and compliance requirements.</li> <li>Advise on investor relations matters and corporate compliance.</li> <li>Support private and public capital markets transactions.</li> <li>Prepare Board resolutions, shareholder consents, waivers, and related corporate governance materials.</li> <li>Conduct legal research on state and federal securities laws, corporate governance, and M&amp;A matters.</li> <li>Organize and coordinate shareholder meetings and compliance filings.</li> <li>Develop legal memoranda, summaries, charts, and other critical deliverables.</li> <li>Manage multiple, high-priority projects in a fast-paced environment.</li> <li>Provide strategic legal advice to internal business teams.</li> <li>Enhance legal department processes, policies, and procedures for efficiency.</li> <li>Identify and mitigate legal and business risks proactively.</li> </ul> <h3><strong>M&amp;A Primary Responsibilities</strong></h3> <ul> <li>Negotiate, draft, review, and revise legal documents, including merger, purchase, and joint venture agreements and ancillary documents.</li> <li>Manage legal due diligence processes to assess legal risks and liabilities in transactions.</li> <li>Work closely with executive leadership and colleagues across EquipmentShare’s corporate development, materials division, and dealership sales to quickly and efficiently open new locations</li> </ul> <h3><strong>Why EquipmentShare?</strong></h3> <p>Because we do things differently — and we think you’ll feel it from day one.
