POSITION SUMMARY:
Cencora, Inc. (NYSE: COR) is looking for an attorney to join its Legal Department in the position of Assistant General Counsel – Corporate and M&A. This will be held by an attorney with strong legal skills and the ability to deliver business-oriented, effective and efficient legal services, project management, and strategic counseling on significant M&A and other strategic transactions across Cencora’s global organization.
In this role, the ideal candidate will support global M&A and other strategic transactions (e.g., joint ventures and minority investments), and will provide support to the Corporate Development team throughout the entire deal process. The ideal candidate will also provide support and advice on the development of templates and playbooks for M&A deals and related strategic transactions. This ideal candidate will report to Cencora’s Vice President & Associate General Counsel – M&A.
PRIMARY DUTIES AND RESPONSIBILITIES:
- Manage all aspects of domestic and international M&A and other strategic transactions from inception to completion, including drafting and negotiating confidentiality agreements, letters of intent and term sheets, performing due diligence, drafting and negotiating definitive transaction agreements and ancillary agreements, and executing closings and post-closing integration.
- Collaborate with cross-functional teams to execute M&A and other strategic transactions, including teams in the Legal Department, Corporate Development, Finance, Tax, Treasury, IT, Compliance and HR, and coordinate with outside counsel.
- Coordinate efforts and manage expectations with internal clients in Corporate Development as well as other internal and external attorneys to provide sound legal advice and mitigate risk to Cencora.
- Demonstrate strong project management skills as this role will require that the attorney take on mixed legal and business responsibility for, and project management of, M&A and other strategic transactions, including a significant role leading post-closing integration in collaboration with Cencora’s Integration Management Office.
- Oversee corporate governance matters for Cencora’s global suite of subsidiary businesses.
- Provide corporate legal advice and support on tax matters, including U.S. and international reorganizations.
- Demonstrate critical decision-making capability and proficiency in making business-oriented and legally compliant recommendations to his or her internal clients.
- Possess the ability to juggle multiple matters and effectively prioritize and multi-task to ensure that work is completed in a timely and efficient matter.
- The lawyer in this role may have management responsibility for one or more legal professionals and, if so, is required to be an effective manager of his or her reports.
- The Assistant General Counsel should be able to represent Cencora and his or her relevant client groups on significant business contracts or other matters. The Assistant General Counsel frequently is required in these situations to lead or have an integral role in both legal and business negotiations.
- The Assistant General Counsel will effectively work amid change and is willing to shift priorities and focus.
- The lawyer in this role will seek out challenging tasks and assignments, engage in frequent development discussions and is open to feedback.
EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
The lawyer in this role must be a graduate of an accredited law school, admitted into the state bar, and is expected to have a minimum of 9 years of experience as a corporate attorney combined with expertise in M&A.
The lawyer in this role is comparable to a counsel or non-equity partner in a law firm and is a lawyer who can do sophisticated work as an individual contributor and/or supervise and project manage other individual legal professionals or teams of legal professionals.
MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:
- Familiar with a variety of the fields concepts, practices and legal procedures.
- Working knowledge of corporate law, including anti-trust laws and regulatory agency procedures (e.g., FTC).
- The lawyer in this role has the expertise and background to be comfortable supervising outside lawyers engaged to work on matters for Cencora, including outside lawyers from major law firms used by Cencora.
- In this role, the lawyer is expected to be knowledgeable in Cencora’s business and industry policies, practices and trends and be aware of the competitive landscape.
- Relies on extensive experience and judgment to plan and accomplish goals.
- Ability to communicate effectively both orally and in writing.
- The Assistant General Counsel will demonstrate very good to excellent communication and information sharing with all levels of associates.
- Strong interpersonal skills.

Ranges in Colorado/California/Washington/New York/Hawaii/Vermont/Minnesota/Massachusetts/Illinois State-specific locations may be up to 10% lower than the minimum salary range, and 12% higher than the maximum salary range.
